CONTRACT REVIEW

Per DePaul’s Contract Requirements and Procedures Policy, all contracts with an actual or estimated value of $50,000 or more or with “Special Risk” as defined by the Policy must be reviewed and approved by the OGC before execution.  The following contracts are considered to have “Special Risk”: 

  • Contracts that involve DePaul's intellectual property, such as University logos, marks, artwork, symbols, or copyrighted materials;
  • Contracts involving the lease or purchase of real estate;
  • Contracts that require the University to indemnify or insure an outside party;
  • Contracts involving off-campus educational programs or activities (such as international affiliation agreements, study abroad contracts, and student internship/service-learning contracts);
  • Independent contractor and consulting agreements;
  • Contracts that will give any provider of goods or services access to private or confidential information (such as information protected by FERPA, HIPAA, or the Gramm-Leach-Bliley Act); and
  • Contracts that may expose DePaul to significant risk or liability.

After you submit a contract for review, you will receive an email response stating which OGC attorney will conduct the review and an estimated date of completion.  If you do not receive an email response within one business day, or if you have any questions, please contact the OGC at (312) 362-8865.
